TERMS AND CONDITIONS OF COM.MOTION CONSULTING INTERNET MARKETING

  1. Introduction – Internet Marketing contracts are in accordance with the following terms and conditions, unless or until an alternative is specifically agreed between the Parties which supercedes these terms and conditions.
  2. Purpose of the Contract - The purpose of the Contract is to effect a programme of Internet Marketing for the Client website.
  3. Duration of the Contract - This Internet Marketing contract is to be carried out in accordance with the following conditions:
    1. This contract is for a period of one year or an agreed period between both parties, beginning on the first day of work by Com.Motion Consulting.
    2. The Client may terminate the contract at any time, in writing, immediately in the event that Com.Motion Consulting commits any material breach of the terms of this contract.
    3. The Client may terminate the contract, in writing, for any reason with 30 days notice subject to payment of 50% of the remaining value of the contract.
    4. Com.Motion Consulting may terminate or suspend this contract at any time, in writing, immediately in the event that The Client commits any material breach of the terms of this contract.
  4. Fees - Fees for the contract will be as follows:
    1. Payment for Contract Duration for Internet Marketing to the website - fixed fee as agreed between the parties, chargeable over 12 months or contract duration.
    2. Additional work required of Com.Motion Consulting but not covered by the schedule of the agreed contract will be chargeable at an hourly rate of £50, except where another price is agreed specifically for this additional work.
    3. Where applicable, VAT will be added at the appropriate rate.
  5. Invoices and Payment: - Payments will be made as follows:
    1. Setup Costs (First Month) - AGREED INITIAL PAYMENT+VAT due by the commencement date.
    2. Com.Motion Consulting will invoice for the Setup payment upon verbal agreement of the sale of the deliverable service. Payment of the Setup invoice will be deemed to be acceptance of the terms of the contract as described herein.
    3. Work cannot begin on the site until funds have been cleared through the banking system from the payment of the full amount of the Setup Costs .
    4. The Monthly Payments shall be invoiced for on a monthly basis hereafter, payment to be paid within 15 days. Payments should be made to “Com.Motion Consulting Ltd”.
  6. Taxation - Com.Motion Consulting shall be responsible for payment of any taxation and National Insurance or similar liabilities or contributions in respect of the fees paid for the execution of this contract. Com.Motion Consulting will indemnify The Client against all liability for the same and any costs, claims or expenses, including interest and penalties.
  7. Confidentiality - Com.Motion Consulting will not divulge to third parties matters confidential to The Client (whether or not covered by this contract) without the explicit permission of The Client. Except where specifically agreed otherwise, all material, data, information, etc collected during the course of the contract will remain in the possession of The Client and not used without their permission.
  8. Copyright/Intellectual Property Rights - Upon final balancing payment of this contract, The Client shall be assigned full ownership rights to any material or conceptual aspects of the web site authored by employees or subcontractors of Com.Motion Consulting, including but not limited to source code, text Content and Meta tag content. Upon transfer of ownership of content rights, The Client shall accept full responsibility for the whole content of the web site, and any grievances, arising as a result of this content, either in the United Kingdom, or any other countries, will be the sole responsibility of The Client.
  9. Assignment - Neither the Client nor Com.Motion Consulting shall assign the burden of this contract without the other’s prior written consent (not to be unreasonably withheld).

CONTRACT ACCEPTANCE: Please note that any payment made in respect to the service is considered to be acceptance of these terms and conditions. Please ensure that you are familiar with the terms and conditions of service prior to payment.
